Terms of Service

1. Acceptance of terms
By installing or using the Cellmate Google Sheets add-on or visiting cellmate.work (together, the "Service"), you agree to these Terms of Service. If you do not agree, please do not use the Service.
2. Description of the Service
Cellmate is a bring-your-own-key (BYOK) Google Sheets add-on that lets you call an OpenAI-compatible AI provider of your choosing from spreadsheet formulas and custom commands. You configure your own API key in the add-on. Cellmate does not operate the underlying AI models; AI usage is billed by your provider. Cellmate may also provide optional formula caching and related account services as described in the Privacy Policy.
3. Your account and API keys
You are responsible for maintaining an account in good standing with any AI provider you connect to Cellmate, including complying with that provider's own terms of service, acceptable use policy, and billing arrangements. You are solely responsible for safeguarding your API keys and for all activity and charges that occur through their use.
4. Ownership of inputs and outputs
As between you and Cellmate, you retain all rights to the content of your spreadsheets, the prompts you write ("Inputs"), and the responses generated by your AI provider through Cellmate ("Outputs"). Cellmate claims no ownership over your Inputs or Outputs and does not use them to train models or for advertising.
Your rights to use, reproduce, and commercialize Outputs may also be subject to the terms of your AI provider, which can vary by provider and by model. Review your provider's terms if Output ownership or usage rights are important for your use case.
5. Third-party AI provider terms apply
Every AI request you make through Cellmate is sent directly to the third-party provider you configure. Your use of that provider is governed entirely by its own terms of service, usage policies, and pricing — not by Cellmate. Cellmate is not a party to your relationship with that provider and is not responsible for its availability, pricing changes, policy enforcement, or handling of your data.
6. AI accuracy disclaimer
AI-generated Outputs may be inaccurate, incomplete, outdated, or otherwise unsuitable for your purposes, and can vary between providers and models. Cellmate does not review, verify, or guarantee the accuracy, reliability, or legality of any Output. You are responsible for independently reviewing and validating any AI-generated content before relying on it, especially for financial, legal, medical, or other consequential decisions.
7. Acceptable use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right, including intellectual property and privacy rights.
- Violate the acceptable use policy of any AI provider you connect to Cellmate.
- Attempt to reverse engineer, decompile, or gain unauthorized access to the Service or its underlying code.
- Interfere with, disrupt, or place undue load on Cellmate's infrastructure or the Google Workspace platform.
- Use the Service to generate content intended to harass, defraud, or deceive others, or to generate malicious code.
- Misrepresent your identity or affiliation in connection with the Service.
8. Subscription and payment
If Cellmate offers a paid plan, that plan covers use of the add-on itself and is billed separately from any charges your AI provider applies for API usage. Fees for the Service are described at the time of purchase; unless required otherwise by law, fees are non-refundable once a billing period has begun.
9. Intellectual property
The Cellmate name, branding, website, and add-on code (excluding your Inputs and Outputs, and excluding any third-party AI models) are owned by Cellmate and protected by applicable intellectual property laws. You may not copy, modify, or redistribute them except as permitted by these Terms.
10. Limitation of liability
To the maximum extent permitted by law, Cellmate is provided "as is" without warranties of any kind. Cellmate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business, arising from your use of the Service or of any third-party AI provider connected through it.
11. Termination
You may stop using Cellmate at any time by uninstalling the add-on. We may suspend or terminate access to the Service for any user who violates these Terms, without prior notice where reasonably necessary to protect the Service or other users.
12. Changes to these terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
13. Governing law
These Terms are governed by the laws of the jurisdiction in which Cellmate operates, without regard to conflict-of-law principles, except where local consumer protection law provides otherwise.
